Firmenich announces Acquisition of Noville, Inc.
Geneva, Switzerland, February 8, 2005
Firmenich is pleased to announce the acquisition of Noville, Inc., a
leading company in the US perfume and flavors market.
Founded in 1939, Noville is particularly well positioned in the US Home
Care and Oral Care markets, with a solid reputation for quality products
and customer relations.
Firmenich CEO, Patrick Firmenich, declared: “The acquisition of this
highly focused and reputable private company matches our commercial strategy and represents an excellent cultural fit. It allows us to reinforce our position in major US market segments and to access important new clients.
†Noville, Inc. President and CEO, Daniel Carey, who will join Firmenich as General Manager and Vice-President of its new Noville Division, said:
“I am very pleased that we were able to join a company of the quality and reputation of Firmenich. The intense competition and market
consolidation in our industry have made it difficult for a company like
Noville to achieve sustainable growth on its own.
†Thanks to its experience, innovative technologies and global
reach, Firmenich aims to leverage Noville’s strengths to further
consolidate its position in the Home Care and Oral Care segments of the US and global perfume and flavor markets.
Firmenich is the world’s largest privately-owned company in the
fragrance and flavor industry. Founded in Geneva, Switzerland, in 1895, it has built its reputation on its innovation, creativity and entrepreneurial
spirit, and has an annual turnover of 2 billion Swiss Francs.
Firmenich Sales Top 2 Billion
During its fiscal year ending June 2005, Firmenich sales grew by 7.1% in
local currencies, or 3.0% in Swiss Francs, to reach a total of CHF 2,035
million. The world's largest privately owned Fragrance and Flavor company
thus further increased its share of the global Fragrance and Flavor market.
Our strong performance unfolded against a backdrop of a hesitant
world economy, caught between emerging markets' dynamism and Western
countries' struggle to cope with slowing markets. This was accompanied by the challenge of rising energy and material costs.
The acquisition of the US company Noville, in March 2005, was in line
with our strategy of reinforcing our position in Oral Care and in
the US perfumery market. Our results confirmed the wisdom of this highly
focused purchase, as well as the continued strength of Firmenich's
traditional organic growth.
Outperforming the Markets
Firmenich Flavors continued to increase their share of the global Flavors
market with sales growth more than twice that of the market rate. By
June 2005, our Flavor Division had achieved the feat of 21 consecutive
quarters of organic local currency growth.
All three global business units – Sweet Goods, Savory Foods and
Beverages – posted healthy local currency sales growth.
Our strategy of highly focused acquisitions to support our
philosophy of organic growth brought positive results for Firmenich Flavors. In Sweet Goods, the acquisition of Noville helped position us as a key Oral Care player, as planned, thanks to increased Flavor sales for Oral Care products like functional chewing gum and toothpaste. Similarly, we posted record sales in Seafood Flavors, part of our Savory Foods segment, building on our purchase of Norwegian family company, Bjørge Biomarin, in 2002.
Geographically, sales of Firmenich Flavors outperformed all four
regional markets. Performance was particularly strong in Latin America, with
double-digit growth, North America and Asia Pacific.
Serving Clients & Markets Through Innovation
During the year, we launched a multi-segment health and nutrition
unit, aimed at leveraging our unique technologies to resolve the
challenges of preserving food ingredients with positive health effects during the cooking phase.
We also introduced Thermarome®, a delivery system that protects
Flavors during difficult processing conditions. This new system further
enriched the palette of Flavor encapsulation systems pioneered by Firmenich over the past few years.
At the same time, we partnered with universities and research
institutes to discover more of the Flavor components in foods around the world.
This
aimed to help us remain close to local needs, while enriching the
creation
of Flavors for global markets.
Perspectives
We had a strong pipeline of new business, raw materials and
technologies as
our fiscal year came to a close. We nevertheless expect increasingly
fierce
competition in the marketplace, as the ballet of acquisitions, new
entrants
and divestments continues in the Flavor industry.
