What is Corporate Governance?


It refers to the guideline, procedures, rules for decision making.

It suggests how to monitor the performance.

It has to do with power and accountability; who exercises power, on behalf of whom and how the exercise of power is controlled


The Manner in which a Corporation runs for:

• Achieving its Objectives

• Transparency of its Operations

• Accountability & Reporting

• Good Corporate Citizenship

• leadership for efficiency;

• leadership for integrity;

• leadership with responsibility; and

• leadership which is transparent and which is accountable

Corporate governance broadly refers to the mechanisms, processes and relations by which corporations are controlled and directed. It is a framework of rules and practices by which is used for the improve fairness and transparency of a company's relationships with stock holders.

The corporate governance framework consists 1. Explicit and implicit contracts between the company and the stakeholders for distribution of responsibilities. 2. procedures for proper supervision, control, and information-flows to serve as a system of checks-and-balances.
