Meaning of Merger
Before we understand, what is Merger? First, let's find out the simple meaning of an acquiring company and acquired companies. 1. Acquiring company is a single existing company that purchases the majority of equity shares of one or more companies. 2. Acquired companies are those companies that surrender the majority of their equity shares to an acquiring company. Merger is a technique of business growth. It is not treated as a business combination. Merger is done on a permanent basis. Generally, it is done between two companies. However, it can also be done among more than two companies. During merger, an acquiring company and acquired companies come together to decide and execute a merger agreement between them. After merger, acquiring company survives whereas acquired companies do not survive anymore, and they cease (stop) to exist. Merger does not result in the formation of a new company. The management of acquiring company continues to lead (direct) the merger. EXAMPLES:1. The biggest M & A deal was done by Reliance Communication which merged its telecoms tower business with GTL infrastructure Ltd for USD 11 billion. 2. Bharti Airtel acquired Kuwait based Zain Telecom's African business for USD 10.7 billion. Reliance Industries acquired Infotel broadband for USD 1 Billion. 3. The biggest deal in Pharmaceutical sector was the acquisition of the generic drug unit of Piramal Health care by USA based drug maker Abbot Laboratories (ABT) for USD 3720 million. 4. In the Banking, Financial Services and Insurance sector, biggest deal was cut by Hinduja group, when it acquired Luxembourg based KBL European private bankers SA for USD 1.69 billion.
Definition of 'Acquisition'
A corporate action in which a company buys most, if not all, of the target company's ownership stakes in order to assume control of the target firm. Acquisitions are often made as part of a company's growth strategy whereby it is more beneficial to take over an existing firm's operations and niche compared to expanding on its own. Acquisitions are often paid in cash, the acquiring company's stock or a combination of both. 1. Tata Steel's mega takeover of European steel major Corus for $12.2 billion. The biggest ever for an Indian company. This is the first big thing which marked the arrival of India Inc on the global stage. The next big thing everyone is talking about is Tata Nano. 2. Vodafone's purchase of 52% stake in Hutch Essar for about $10 billion. Essar group still holds 32% in the Joint venture. 3. Hindalco of Aditya Birla group's acquisition of Novellis for $6 billion. 4. Ranbaxy's sale to Japan's Daiichi for $4.5 billion. Sing brothers sold the company to Daiichi and since then there is no real good news coming out of Ranbaxy. 5. ONGC acquisition of Russia based Imperial Energy for $2.8 billion. This marked the turn around of India's hunt for natural reserves to compete with China. 6. NTT DoCoMo-Tata Tele services deal for $2.7 billion. The second biggest telecom deal after the Vodafone. Reliance MTN deal if went through would have been a good addition to the list. 7. HDFC Bank acquisition of Centurion Bank of Punjab for $2.4 billion. 8. Tata Motors acquisition of luxury car maker Jaguar Land Rover for $2.3 billion. This could probably the most ambitious deal after the Ranbaxy one. It certainly landed Tata Motors into lot of trouble. 9. Wind Energy premier Suzlon Energy's acquistion of RePower for $1.7 billion. 10. Reliance Industries taking over Reliance Petroleum Limited (RPL) for 8500 crores or $1.6 billion.

ONGC acquisition of Russia based Imperial Energy for $2.8 billion. This marked the turn around of India's hunt for natural reserves to compete with China. 6. NTT DoCoMo-Tata Tele services deal for $2.7 billion. The second biggest telecom deal after the Vodafone. Reliance MTN deal if went through would have been a good addition to the list. 7. HDFC Bank acquisition of Centurion Bank of Punjab for $2.4 billion. 8. Tata Motors acquisition of luxury car maker Jaguar Land Rover for $2.3 billion. This could probably the most ambitious deal after the Ranbaxy one. It certainly landed Tata Motors into lot of trouble. 9. Wind Energy premier Suzlon Energy's acquistion of RePower for $1.7 billion. 10. Reliance Industries taking over Reliance Petroleum Limited (RPL) for 8500 crores or $1.6 billion.
