EmcorEMCOR Group NYSE: EME is a Fortune 500 company based in Norwalk, Connecticut. EMCOR is a mechanical and electrical construction contractor.

The Company has its origins in Jamaica Water Projects Inc. (subsequently known as JWP Inc.),[1] a company established in 1966 which emerged from Chapter 11 and was restructured and established in its present form as a contractor with electrical & mechanical contracting as its core activity (hence Emcor) in 1994.[2]
One of the first major acquisitions it made was Baltimore-based Poole & Kent in 1999.[3]
It increased its involvement in facilities management when it bought Siemens's facilities management in 2003.[4]
In July 2007, EMCOR acquired a pair of California HVAC services providers: Air Systems Inc, based in San Jose, and Fuller Air, based in San Diego.[5]
In August 2007, EMCOR purchased Ohmstede Limited headquartered in Beaumont, Texas, a shell and tube heat exchanger manufacturer that employs over 500 people, for $455 million.[6]
In January 2008 EMCOR announced the release of EMCOR360, a facilities management product powered by utiliVisor software. EMCOR360 collects energy data directly from from a facility's HVAC systems to determine less than optimal systems operations. EMCOR360 Certified Energy Managers then make recommendations to the facility's operating engineers to improve system performance and conserve energy.

Accordingly, the Company's Audit Committee has established the following
procedures for (1) receipt, retention and treatment of complaints regarding accounting,
internal accounting controls, or auditing matters and (2) the confidential, anonymous
submission of concerns regarding questionable accounting or auditing matters.
B. Responsibilities of Audit Committee With Respect to Complaints
1. The Audit Committee shall receive, retain, investigate and act on complaints
and concerns (“Reports”) regarding:
(a) questionable accounting, internal accounting controls, and auditing
matters (each an “Accounting Allegation”), including, but not limited to the following:
_ fraud or deliberate error in the preparation, evaluation, review
or audit of any financial statement of the Company;
_ fraud or deliberate error in the recording and maintaining of
financial records of the Company;
_ deficiencies in or noncompliance with the Company's internal
accounting or disclosure controls;
_ misrepresentation or false statement to or by an officer of the
Company, an employee of the Company having accounting
responsibilities, or a representative of the Company's
independent public accountants regarding a matter contained
in the financial records, financial reports or audit reports of the
Company; or
_ deviation from full and fair reporting of the Company's financial
condition.
(b) retaliation against employees who make Accounting Allegations
(“Retaliatory Act”).
2. In the discretion of the Audit Committee, responsibilities of the Audit
Committee created by these procedures may be delegated to the Chairperson of the Audit
Committee.
3. The term "Company" means EMCOR Group, Inc. and/or its subsidiaries.

Ethical business conduct is critical to our business. As a director, officer or employee,
your responsibility is to respect and adhere to these practices. Many of these practices reflect
legal or regulatory requirements. Violations of these laws and regulations can create significant
liability for you, the Company, its directors, officers and other employees.
This Code of Business Conduct and Ethics (the “Code”) outlines the broad principles of
legal and ethical business conduct embraced by EMCORE. It is not a complete list of legal or
ethical questions an employee might face in the course of business, and therefore, the Code must
be applied using common sense and good judgment. Other Company policies and procedures
provide details pertinent to many of the provisions of the Code and thus employees are expected
to be aware of, and to act in accordance with, both the Code and such other policies and
procedures at all times. In particular, employees must at all times observe the provisions of the
Company’s General Insider Trading Policy and its Confidential and Proprietary Information
Policy. These and other important policies and procedures can be found in the Company’s
Employee Handbook. Although there can be no better course of action than to apply common
sense and sound judgment, employees should not hesitate to use the resources available
whenever it is necessary to seek clarification.
We are committed to regularly reviewing and updating our policies and procedures.
Therefore, this Code of Business Conduct and Ethics is subject to modification. Nothing in this
Code of Business Conduct and Ethics, in any company policies and procedures, or in other
related communications (verbal or written) creates or implies an employment contract or term of
employment.

Employees are responsible for complying with local, state, federal, foreign and other
applicable laws, rules and regulations relating to records retention. Employees must familiarize
themselves with the records management and retention procedure in their work group. Questions
relating to records retention and management should be referred to the Legal Department.
Records include paper documents, CDs, computer hard disks, email, floppy disks, microfiche,
microfilm or all other media. Civil and criminal penalties for failure to comply with such
guidelines can be severe for employees, agents, contractors and the Company, and failure to
comply with such guidelines may subject the employee, agent or contractor to disciplinary action,
up to and including termination of employment or business relationship at the Company’s sole
discretion.

EMCOR Scholarship Program
One of the ways in which EMCOR invests in the future of our youth is through the EMCOR Scholarship Program. We offer scholarships to the children of full-time EMCOR employees who are first-time college freshmen. The scholarship is renewable for three years, as long as the recipient demonstrates satisfactory academic performance and the recipient’s parent remains actively employed at EMCOR. From the program's inception in 2004 through the 2009 academic year, EMCOR has awarded hundreds of scholarships. It is EMCOR's intent, that over the next five years, we will grant a minimum of an additional 200 scholarships.

Learning Management System (LMS)
EMCOR’s Learning Management System provides employees with online courses and a variety of interactive online seminars, or webinars. These programs enable employees to work more effectively with their coworkers, perform their responsibilities more successfully, and reduce stress. The program consists of over 250 courses and, on average, accommodates more than 1,300 learners per month.

EMCOR Manager Certificate Program
EMCOR supervisors and managers participate in the EMCOR Manager Certificate Program, which teaches them key management skills, including effective interviewing and communication skills and workplace conflict management. The program, which consists of 20 classes taken over a 12 - 18 month period.
