BorgWarner Inc. (NYSE: BWA) is a United States-based worldwide automotive industry components and parts supplier. It is primarily known for its powertrain products,[1] which include manual and automatic transmissions and transmission components, (e.g., electro-hydraulic control components, transmission control units, friction materials, and one-way clutches), turbochargers, engine valve timing system components, along with four-wheel drive system components.[1]
The company has 60 manufacturing facilities across 18 countries,[1] which include the U.S., Canada, Europe, and Asia. It provides drivetrain component solutions to all three U.S. automakers,[1] as well as a variety of European[1] and Asian[1] original equipment manufacturer (OEM) customers. BorgWarner has diversified into several automotive-related markets (1999),[2] including ignition interlock technology (ACS Corporation est.1976) for preventing impaired operation of vehicles.[citation needed]
Historically, BorgWarner was also known for their ownership of the Norge appliance company (washers and dryers).[citation needed]

We operate in two groups: The Engine Group develops air management strategies and products to optimize engines for fuel efficiency, reduced emissions and enhanced performance. BorgWarner’s expertise includes engine timing systems, boosting systems, ignition systems, air and noise management, cooling and controls. The Drivetrain Group harnesses a legacy of more than 100 years as an industry innovator in transmission and all-wheel drive technology. The group leverages this understanding of powertrain clutching technology to develop interactive control systems and strategies for all types of torque management.

SENSITIVE PAYMENTS
The use of corporate funds, property or resources for any unlawful or improper purpose
is prohibited. Just as we do not accept bribes, we do not offer or give bribes.
 Payments to Others. Payments of money, property or services for the
purpose of obtaining business or special consideration are prohibited.
Reasonable payments for normal business courtesies and not for the purpose
of influencing judgement are permissible. Questions should be directed to
your Compliance Coordinator.
 Political Contributions. Contributions of money, goods, services or anything
of value by the Company to any candidates for office, office holders or party
officials are generally prohibited. Some U.S. states allow corporate
contributions to be made under specific circumstances. Consult with the Law
Department if any contribution is to be made before making it.

Employees may make personal contributions. Reimbursement of such
political contributions by the Company is prohibited.
 Dealing with Government Officials. Payments, loans or offers of money,
services or anything of value to or for a government employee or official for
the purpose of influencing any decision of that person are prohibited.
Payments made indirectly or through an intermediary are also prohibited.
Actions taken by BorgWarner, its subsidiaries and their employees outside
the U.S. on behalf of the Company are strictly regulated by anti-corruption
laws in every country BorgWarner is located and by U.S. laws and
regulations, including the Foreign Corrupt Practices Act and antiboycott and
international trade laws. Offering gifts and entertainment beyond good
business practice in ordinary commercial transactions is not permitted. If you
are involved in transactions outside the U.S., you should be familiar with and
observe the provisions of local anti-corruption laws and the U.S. Foreign
Corrupt Practices Act and international trade regulations. This instruction is
particularly directed to non-U.S. subsidiaries' employees, because locally
lawful conduct might trigger legal action against BorgWarner in the U.S. under

All Company funds and assets must be properly disclosed or accounted for in the
regular books and records of BorgWarner, and financial statements published by
BorgWarner must accurately reflect the Company's financial position. Improper or
fraudulent accounting, documentation and reporting violate Company policy and may
also violate applicable laws. All internal records that support financial reporting must be
prepared accurately, completely and properly. These records include, but are not limited
to, expense reports, time cards, production and inventory counts, quality reports, sales
records, attendance statements, supplier documents, consolidating entries, and

As a new employee, your HR Benefits Representative will review
the benefits with you during your new hire orientation. You should
take time to review this book and think about what options are the

Fill out your enrollment form and return it to the HR Benefits
Representative within 31 days of the date you become eligible to
enroll.
Once you are enrolled, each year you have the opportunity to
review and change your benefits during open enrollment.
You can choose to enroll in one, some or all of the benefits
offered. In addition, you can choose different coverage levels for
each. For example, you can choose employee coverage for
Medical and family coverage for Dental/Vision.

This medical option gives you the flexibility and choice to manage your own health care
spending. It works like most medical plans — with one very important difference. The
Choice Health Fund is the only medical plan that features a company-paid Health
Reimbursement Account (HRA).
Each year, BorgWarner contributes half the cost of your deductible to your account. You
determine how your fund dollars are spent – and stretch your fund by seeking the most
cost-effective care. This could mean choosing an in-network provider rather than an outof-
network provider, or taking a generic medication instead of a brand name. The wiser
your health care choices are, the more likely you’ll save money.
If you don’t use all the money in your account this year, it automatically rolls over to
help pay for your expenses next year. It’s like a savings account for health care.
If you spend all the money in the account, you pay the remaining deductible before plan
benefits begin. You can also use a Health Care Flexible Spending Account to pay for
these expenses tax-free (see page 17). Perhaps the biggest advantage of the plan:
Your monthly contribution for either single or family coverage is $0.
The illustration on the next page shows how the Choice Health Fund works. We believe
that giving you a more active role in buying and managing your health care will help
reduce costs for both you and the company. To help you along the way, CIGNA offers a
variety of useful interactive tools for estimating your health care expenses, gathering
health-related information and finding cost-effective health care professionals, facilities,
products and services.
