According to section 2(28) of the companies act 1956, memorandum means memorandum of association of a company as originally framed or as altered from time to time in pursuance of a company as previous companies laws or of the company act 1956. The memorandum of association is a document which contains the fundamental provisions of the company’s constitution. The purpose of memorandum is to define the company in all terms. It includes information regarding capital, assets, shareholders, 3rd parties associated with company etc.
It is one of the important and essential document which must be made by companies In order to start their proceedings and business. It is also known as fundamental document or charter of a company.It also defines the limitations of power of a company.
