Corporate Governance
• The Company was awarded "ICSI National Award for Excellence in Corporate Governance" for the year 2009. • MSIL looks at not only maximizing shareholder value, but also taking care of the needs of the various other stakeholders. • MSIL has been integrating CSR with its business activities long before clause 49 was made compulsory.
• Ethical business conduct and compliance with applicable laws and regulations are fundamental aspects of MSIL’s corporate culture
Board Of Directors
• An optimum combination of executive, non executive and independent directors has been adopted in accordance with the provisions of clause 49.
• 4 Executive, 3 Non-Executive and 4 Independent Directors. All Independent Directors are persons of eminence and appointed only on the basis of experience and skill. • Met 6 times during the year. • Code of Conduct.
Audit Committee
• Formed in Compliance with clause 49 • Mr. Amal Ganguli is the Chairman. • Members are Financially Literate. • Comprises of CFO, Head of internal audit, and Representatives of the external auditor.
• Other Directors and Members of Management are invited as and when the need arises.
Shareholders and Investors Grievance Committee
• Redressal of shareholder and investor grievances. • Oversees, transfer of shares, non receipt of dividends and other related matters.
Looks into the performance of the Registrar and Transfer Agents.
• Recommends and measures for overall improvements in the quality of investors’ service. • Approves issues of duplicate/split/consolidation of share certificates and reviews all matters connected thereto.
Committee for Borrowing
• Committee of directors comprising Managing Director , Director ( in charge of finance) and Director ( Marketing and Sales).
• Approve the terms and conditions of total existing borrowing limits by way of cash-credits, overdrafts and working capital loans from banks/financial institutions under section 292 of Companies ACT,1956.

• MSIL ensures that all relevant information is passed on to the shareholders. • Financial results: Quarterly and annual financial results are published in various paper.
• Monthly sales : Monthly sales figures are sent to stock exchanges as well as displayed on Company's website
• News releases : All official news releases are sent to stock exchanges as well as displayed on the Company's website. • Website The Company's website contains all the relevant information required by the shareholders.
Whistle blower policy
• The company provides a frame work for whistle blowers at all levels. • This policy ensures that employees are able to raise concerns, but that same time their interest are safeguarded. • Mr. Amal Ganguli is the Ombudsman.
