Prohibition on inviting subscription from the public

No advertisement to public

Through private placement

The venture capital fund shall –

Issue a placement memorandum or

Enter into contribution or subscription agreement with the investors which
shall specify the terms and conditions subject to which money is proposed to
be raised.

The copy of the placement memorandum or subscription agreement should be
filed with the board
